Investors Gain New Clout Essay

From the many problems now being experienced by the US in their economy and the way they conduct their businesses, legislators and other groups are turning to new ways to improve the old system and pull America’s economy out of its slump. The latest among these moves is the move by the legislative to give shareholders more power and control in placing and ousting members of the board of directors. This move has become an issue due to the shift in power in terms of whose interest is favored by the ruling. There are several different interests that exist in a company especially when individuals and groups within it make decisions. There are shareholder interests, employee interests, management interests and stakeholder interests that conflict with each other. The current issue highlights the conflicts that arise between the interests of the management and the shareholders as well as the different interests of the shareholders themselves. This is where the clash begins. On the one hand, those who approve of the new ruling maintain that their interests are being upheld especially because they are the ones who invested in the business. This forwards their main interest of the organization succeeding in the long term because of the investments they have put into the business. While the previous ruling handicaps small shareholders, this new rule gives them voice through the process of â€Å"proxy access† as long as they have at least 3% of the controlling stock. This will enable them to express their dissent and dissatisfaction in the board members and oust them especially if they think that the actions of the board are not appropriate. On the other hand, the interests of the management, will be challenged by the new ruling and could result in problems in implementation and efficiency. While the constitutionality and the perceived negative effects of this ruling are contestable, one thing is clear: big business that angered their investors would go under pressure and could find themselves rethinking their strategies. A noticeable thing about this change is the apparent relativity on how democracy is perceived. Before the ruling, many directors served as the signing body for the chief executives and other high ranking officers they are tasked to oversee. This brings into light the apparent control of CEOs and other executives regardless of how the owners of the company feel about their decisions. With owners finally having a measure of control to a fair and impartial opportunity to elect independent directors, many things are going to change in corporations starting with both the board and top management focusing, instead, on serving the interests of the shareholders as their priority. With the democratization of the shareholders as they are given more power, many in management will see such democratic procedures as a bane rather than the boon they have always perceived it to be. Business roundtables, in order to veil their attempts at skewing the corporate election processes to favor the corporation over substantial shareholder interests, have tried to stop such democratization of power within their systems. However, their efforts have recently been trumped by the â€Å"proxy access† rule. The new ruling has made corporate directors directly accountable to the actions of the company. This will result in (at least speculatively) the improvement of performances of the directors unless they want to be voted out of office and replaced by independent candidates chosen by the shareholders who are against their performance. This power is, however, a double-edged sword. Advancing the interests of shareholders who, among themselves, have different interests could prove to be an overly bureaucratic and cumbersome process where all sides would need to be appeased in order to incur no one’s wrath and be dismissed from the position they have been holding. With as little as 3%holding shares, corporate directors will have many parties to appease, which will require them to be very dynamic and charismatic, as well as having an overall good performance, if they want to stay on the board.

The BP or Deepwater Horizon oil spill is considered as the biggest oil spill in the entire history of United Kingdom. The explosion of Deepwater Horizon in the Gulf of Mexico severely injured and destroyed the lives of several people. Furthermore, because of the explosion, the fire burnt for over one and a half days, thereby creating havoc and leading to mass destruction all around. Approximately 5000 vessels and ninety thousand people were directed to plete this process efficiently. Furthermore, BP had to incur around $14 million for this operation and after pletion of this process; around 827,046 barrels of oil were collected (Channel News Asia, 2017). As per the survey, out of 4300 miles of shoreline, around 635 miles required manual oil cleaning procedures. Taking all these impacts in due consideration, these consequences were appropriate for the pany. Since BP was the main player in the oil spill, it was under a non-delegable responsibility to take corrective actions, whether the consequences are high or not. Hence, it decided to take various actions in order to restore the Gulf of Mexico and other affected states. These actions prise of cleaning, research, pensation, etc that required millions of dollars (Mason, 2010). In relation to this, approximately $37.2 billion was kept aside by BP in order to manage all the expenses associated with the disaster (Fodor & Stowe, 2010). An oil spill trust was also introduced in association with this matter and it cost a whopping amount of $20 billion to the pany (BP Plc, 2012). In addition, BP also undertook a responsibility to pay $1.25 billion as additional payments every quarter until 2013. These figures depict that BP had to expand heavily in the restoration process but taking the impacts in due consideration, this had to be done. Furthermore, an NRD (Natural Resource Damages) was also initiated in this regard so that the magnitude of damages can be determined and thereafter, proper corrective actions can be decided for the same. In these activities, BP incurred more than $600 million that is a huge expense. In addition to this, BP arranged to undertake many observational surveys to ascertain the impact of the spill on wildlife habitats. Efficient steps were thereafter taken in order to safeguard and relocate the sea turtles by creating special rehabilitation centers for these creatures (Broder & Krauss, 2011). BP also offered a whopping amount of $22 million to the national wildlife and fish foundation. In addition, the pany also incurred more than $500 million over the period of ten years to create an unbiased research program for lessening the impact of the spill. Since several other states were also affected by the spill, BP had assured payments of $87 million to these states in order to safeguard the tourism industry from the disastrous influence of the spill. In addition, BP also arranged to extend $92 million in the year 2011 for the period of three years wherein $63.5 million was provided in 2011 itself and the remaining amounts in 2012 and 2013 respectively. However, the oil spill still occurred even in the prevalence of proper control by the statutory authorities. This depicts a failure and inefficiency on the part of authorities. It is the prime responsibility of the regulators to act in an efficient manner so that the public interests are not taken for granted and proper assistance is provided to them. Furthermore, contingencies are uncertain and the regulators must make proper ways and create backup strategies in order to be prepared for such situations. However, this failed to happen in the case of BP oil spill that clearly sheds light on their inefficiencies, thereby leading to a massive havoc. Because of such a massive disaster, ways were planted for several new procedures and plans. The oil spill incident came out to be one of the biggest mistakes on the part of BP, thereby leading towards the destruction of businesses, wildlife habitats, and the environment as a whole. Investigations carried out after the disaster sheds light on the urgent requirement of effective corporate governance in panies (Cleveland, 2010). It was also notable that BP did not pensate in full for the damages occurred in the Gulf of Mexico and other states. This came out to be a shock even after the massive impact of the oil spill. However, after nine days, the stock price started falling down and reported at $54.7, which is a massive decline of 8.3%. Since this day, the stock prices continued to decline and reported at $27.02, which is a decline of 54.6% since 19 April. Moreover, in terms of market capitalization, this decline portrayed a massive loss of $101.59 billion (CBS Chicago, 2013). The above report gives a strong emphasis on the oil spill and it is clear from the discussion and argument that there BP flouted laws and made grave mistakes. The result gives a glaring response that there must be stringent policies on the oil panies so that any law is not broken. They are committed to become a world-class healthcare facility. The organisation is aiming for a zero fall incident across all departments in all shifts. They are also an advocate to promote a smoke-free environment which should be achieved by the year 2024. Proper hygiene, preventing cross contamination, limiting salt intake and recognizing the signs and symptoms of stroke are other objectives that the hospital is trying to disseminate to their patients. Event Identification One of the risk identification that the hospital is doing is practicing emergency evacuation in case a major catastrophic event happens. They do this announced or unannounced. This is beneficial to remind the group on what to do in time of tragedies to be effective and efficient in evacuating the facility and save lives. Another current event that they are closely monitoring and trying to prevent is the spread of the Ebola virus. It has become a worldwide threat. They are specifically meticulous for those persons with or without signs of feeling sick to inform the organisation if they travelled to Africa or to any known country which has a positive case of the Ebola virus. If a person is suspected to have contracted this disease, they are to isolated for close monitoring and to be provided with the proper treatment. Risk Assessment Reference North Shore Hospital has a very simple yet very effective way to quickly inform the healthcare provider about the case of the patient. Posted on the wall on top or at the side of the patient is a reference chart. The chart consist information like name, age, language spoken, diet and nurse on charge for that shift. The unique thing about the chart is about the probability of the patient having a fall. It is measured by ticking the box if the patient is at high, medium or no risk of falling. There is also a picture of different walking assistive devices in which the proper tool to use is encircled. The picture helps a lot because it gives a clear picture not only by the name of the device. The chart also indicates if the patient is independent, needs supervision or how many persons should accommodate the patient if ever he or she needs assistance. This reference chart simply provides you the do’s and don’ts regarding the care of the patient. Response Plan Every shift always starts with a hand over. This is vital because in this occasion, all the information about the patient is being given. Each patient is unique in terms of providing care. The healthcare team also do rounds to check on the patients. There are times in which a patient needs close monitoring. The nurse cannot do this alone. They call the help of the bureau. This may be internal or external. This procedure will lessen the risk of the patient to incur any incident. They assign a staff to do a one-on-one monitoring of the patient. This may be an additional cost to the organisation but the positive effect always outweighs the monetary impact. This is also a way as a quick response to unexpected shortage of staff. The nurse managers on duty can always count on the bureaus to provide them with the manpower needed for that shift. The allocation of patients to the nurses on duty is also planned out. There are 2 or more nurses assigned in a single room. All the severe cases and patients who has complex care plan are distributed to the nurses. The buddy system works well in the healthcare system because there will be somebody to assist or help you in case a problem occurs. Each room generally consists of four patients. A single room cannot be occupied by all dependent patients. Occasionally there are two independent patients and two who needs close monitoring or supervision. Control Activities North Shore Hospital is equipped with all the modern risk managing devices like fire extinguishers, first aid kits and the likes. The expiry dates are checked regularly to maintain the effectivity of the devices. They also provide call bells to each patient. This will provide the patient easy access to the healthcare providers. The toilets are equipped with this feature. All over the floor there is an emergency bell. This would help alert all the healthcare staff that a major incident occurred. If the patient is not capable of pressing the call bell, they are attached to a monitoring alarm. If the patient gets up from bed, the alarm is triggered to alert the staff on duty that the patient needs help. Not only are the tools or the equipment being used are audited. The plans and protocols are also being updated from time to time. These plans are adjusted according to the flaws, if ever there are any, or new ideas and suggestions coming in that might be beneficial to the recent protocol s; all of the plans and materials being used to control or prevent risks are continuously changing or updating to be more effective it its goals. Information and Communication The hospital has good communication mediums to inform the staff and the general public about the health objectives. They use emails and online communications lines in order to inter act with each department. A paging system is used to announce any information that can be heard all throughout the facility. They also print out and post posters all over the facility. They are the appropriate size and clear. It contains the vital information that they want the people to know. It also contains call back information so that the public will have the chance to call them for questions and clarification. There are also leaflets and hand outs available. This is useful and handy. A patient can take these flyers with them and they can read it in their free time to better grasp the information being handed out. Help desk and information centre is also available. It is manned by a knowledgeable staff in which basic information can be answered right away. Monitoring Being a big hospital, it takes a group effort to maintain or prevent risks from occurring in the organisation. The company delegates to the members of the team the different aspects that need monitoring. They monitor cleanliness, fall incidents, cross contamination, intravenous lines infection and the likes. Each subject is randomly assigned to the members of the healthcare team for monitoring. They post the results of the evaluation at their bulletin board. The hospital makes it into a friendly competition. They commend the best ward for their efforts. This is a good way to motivate the crew to bring out the best performance and to provide the best care possible. Conclusion All organisations involving healthcare, may it be a hospital or a retirement village, has the best intention to their patients. They all have a common goal of taking care of people who lacks the ability to take care of themselves, may it be due to certain illnesses or old age. With the type of clientele that they have, risk is always present. That is why protocols are set to manage these risks. For me, the most important key is how to follow these protocols. The Ballad of Gregorio Cortez appeared first on PBS television, then later went into general release. Today the Western seems to be deader than the California Med-fly. Critics and aficionados of the form can only hear, as with Arnold's sea of faith, its long receding roar. Everything except fluoride in the water has been blamed for the death of the Western. Even critics themselves have come under attack of late. Stephen Tatum, writing in 1983, called critics such as Brian Garfield and Don Graham "shootists," indicting them for a variety of sins. They are said to hold a "fundamentalist," transcendent conception of the Western. They are "redeemer" critics who wish to stop the clock, deny history, and halt the inevitable evolution of genres. Not only that, Garfield and Graham are moreover accused of being "authoritarian" and suspiciously close to the "moral majority" position.'
